Business Incorporation Process

Our office can make this process easy for you as well as providing representation for other business needs.


Following are the steps on how your business will be incorporated:

1. Initial Consultation. We have an initial consultation to discuss the mechanics of incorporating your business. Ideally, you have already met with your CPA who advised that creating a corporation would be beneficial to you from a tax perspective. Also, it would be helpful if you would have picked out a corporate name prior to our meeting.  

2. Second Meeting. During this meeting, you sign the Articles of Incorporation and Consent to Serve as Registered Agent. You will conduct an initial meeting of the Incorporators. A registered agent is someone who accepts service of process on the corporation's behalf.

3. Articles of Incorporation and Consent to Serve as Registered Agent are filed with the Secretary of State's office. If you choose to expedite filing, the filing fee is $195.00 and it will take approximately two weeks. If you choose not to expedite filing, the filing fee is $175.00 but the process could take considerably longer.

4. Receipt of Confirmation from Secretary of State's office.  Our office will receive confirmation that your business has been incorporated, including your corporate certificate and UBI number. At that point, a valid corporation will exist.

5. Letter of Instruction. You will receive a letter of instruction that explains the mechanics of operating your new corporation.

6. Third Meeting. You will meet again with someone in our office. At that point, you will conduct initial meetings of the shareholders and board of directors of your new corporation. The following documents will be finalized: Bylaws, Oath of Directors, Stock Certificates, Stock Receipts, Stock Journal and Stock Subscription List.

7. Corporate Minute Book. Your corporate minute book will be set up and mailed to you.
