1. Initial
Consultation. We have an
initial consultation to discuss the mechanics of forming an LLC
(Limited Liability Company).
Ideally, you have already met with your CPA who advised that creating
a limited liability company would be beneficial to you from a tax
perspective. Also, it would be helpful if you would have picked out a
name for your LLC prior to our meeting.
2. Second Meeting.
During this meeting, you sign the Certificate of Formation and Consent
to Serve as Registered Agent. A registered agent is someone who
accepts service of process on the LLC's behalf.
3. Filing.
Certificate of Formation and Consent to Serve as Registered Agent are
filed with the Washington Secretary of State's office. If you choose
to expedite filing, the filing fee is $195.00 and it will take
approximately two weeks. If you choose not to expedite filing, the
filing fee is $175.00 but the process could take considerably longer.
4. Receipt of
Confirmation from Secretary of State's office.
Our office will
receive confirmation that your LLC has been formed, including your
official certificate and UBI number. At that point, a valid LLC will
exist.
5. Letter of
Instruction. You will receive a letter of instruction that explains the mechanics of operating your new limited liability
company.
6. Third Meeting.
You will meet again with someone in our office. At that point, you
will conduct an initial meeting of the members of your new LLC. Your
operating agreement will be approved at this time. Your operating
agreement is a very technical document, so I will require your CPA to
approve of it prior to this meeting to ensure it meets your needs from
a tax perspective.
7. LLC Minute Book.
Your LLC minute book will be set up and mailed to
you.
